In this role, you will be responsible for providing strategic, business-minded legal guidance across a range of complex initiatives, from M&A and post-deal integration to subsidiary governance, fundraising diligence, and capital structure management.This is a highly visible, hands-on role for a seasoned attorney who thrives in a fast-paced environment, can operate independently with minimal oversight, and knows how to translate legal risk into actionable business solutions. What You'll Do<ul><li style="font-size: 12pt; line-height: 1.2;">Lead and manage corporate transactions including M&A (from LOI through post-closing), reorganizations, and capital markets activities.</li><li style="font-size: 12pt; line-height: 1.2;">Oversee post-deal activities such as governance updates, intercompany cost-sharing agreements, entity clean-up projects, and payoff or reconciliation of outstanding obligations.</li><li style="font-size: 12pt; line-height: 1.2;">Own subsidiary governance — maintain organizational documents, resolutions, and filings; ensure compliance across all entities.</li><li style="font-size: 12pt; line-height: 1.2;">Run diligence for fundraising efforts, including managing data rooms, pulling and reviewing cap tables, and coordinating entity formation for new ventures or investment structures.</li><li style="font-size: 12pt; line-height: 1.2;">Manage outside counsel for M&A, securities, and other corporate matters — ensuring efficient, high-quality execution and alignment with internal priorities.</li><li style="font-size: 12pt; line-height: 1.2;">Collaborate cross-functionally with Finance, Accounting, Product, and Compliance teams to align legal strategy with operational and financial goals.</li><li style="font-size: 12pt; line-height: 1.2;">Partner with Product and Technology teams to integrate legal considerations into new initiatives and systems, ensuring proper governance and documentation.</li><li style="font-size: 12pt; line-height: 1.2;">Identify and resolve post-deal and process issues, including gaps between legal, technical, and business teams.</li><li style="font-size: 12pt; line-height: 1.2;">Provide strategic, pragmatic advice to senior leadership on corporate structure, risk management, and operational efficiency.</li><li style="font-size: 12pt; line-height: 1.2;">Serve as a legal utility player, supporting a wide range of strategic projects across the organization without the need for extensive oversight.</li><li style="font-size: 12pt; line-height: 1.2;">Other duties as assigned.</li></ul> Who You Are<ul><li style="font-size: 12pt; line-height: 1.2;">Juris Doctor (JD) from an ABA-accredited law school; active license to practice in at least one U.S. jurisdiction.</li><li style="font-size: 12pt; line-height: 1.2;">8+ years of progressive corporate and M&A experience at a top-tier law firm and/or in-house, leading deal transactions end-to-end.</li><li style="font-size: 12pt; line-height: 1.2;">Deep understanding of M&A structures, due diligence, entity formation, and post-acquisition integration.</li><li style="font-size: 12pt; line-height: 1.2;">Experience managing subsidiary governance, cost-sharing agreements, and corporate reorganizations.</li><li style="font-size: 12pt; line-height: 1.2;">Proven ability to manage outside counsel and oversee complex, cross-functional legal processes.</li><li style="font-size: 12pt; line-height: 1.2;">Skilled at fundraising diligence, including organizing data rooms and managing capital tables.</li><li style="font-size: 12pt; line-height: 1.2;">Strong business acumen with the ability to provide clear, actionable legal advice in ambiguous or fast-changing environments.</li><li style="font-size: 12pt; line-height: 1.2;">Highly organized and detail-oriented, with strong project management capabilities.</li><li style="font-size: 12pt; line-height: 1.2;">Comfortable managing multiple complex initiatives independently — no hand-holding required.</li><li style="font-size: 12pt; line-height: 1.2;">Excellent communicator who can partner effectively across functions, from executives to technical teams.</li><li style="font-size: 12pt;
