So, what’s the role?

We are adding a Senior Corporate Counsel opportunity to our legal team! In this role, you will operate in a dynamic, fast-paced environment and must exhibit strong emotional intelligence, self-motivation and legal, interpersonal and communication skills. Reporting to the Chief Legal Officer, you will handle corporate securities and governance matters, and play a key role in other legal areas as needed, including equity and debt financings and M&A transactions.  This role requires a proactive, flexible, and positive mindset and someone who is a problem-solver at their core. You will have the opportunity to focus on improving legal operations and must be comfortable working in a high-growth, startup environment. The ideal candidate is an experienced corporate lawyer with deep knowledge of public and private securities and corporate governance.  Kin has a remote, US-based workplace. 

A day in the life could include: 

  • Providing legal guidance and support on a wide range of securities and corporate governance matters, including equity administration, investor relations and secondary market transactions

  • Assisting in the design and implementation of an enhanced control framework in anticipation of a possible IPO  

  • Reviewing, negotiating, and drafting legal documents

  • Working with Kin’s board of directors, including helping prepare board meeting materials and minutes and obtaining Board approvals and consent

  • Helping ensure ongoing compliance with debt and equity financing agreements 

  • Advising on potential legal risks and developing strategies to mitigate those risks

  • Collaborating with cross-functional teams to ensure that the company's business activities are in compliance with relevant laws and regulations

  • Assisting with the management of outside counsel and legal expenses

  • Staying up-to-date on developments in corporate and securities laws

I’ve got the skills… but do I have the necessary ones?

  • Juris Doctor degree from an accredited law school and admission to a state bar

  • 5-8+ years of combined experience at a major law firm or in-house legal department of a high-growth private company with a focus on securities and corporate governance

  • Experience working with high-growth, private companies, particularly in the tech, fintech or insurtech sectors

  • Outstanding communicator with the ability to work cross-functionally

  • Ability to work independently and as part of a team

  • Experience executing projects in a complex organizational environment and the ability to work on several diverse projects at the same time
