Securities Legal Counsel

About the role

As our Securities Counsel, you will own all things public-company and capital-markets for Fold. Reporting directly to Hailey Lennon (General Counsel), you’ll be the point person for SEC filings, Nasdaq compliance, and equity administration while partnering with Finance, Investor Relations, and the Board. You’ll translate our pioneering bitcoin-only business model into clear, compelling, and compliant disclosures that educate both traditional capital-markets participants and the growing class of bitcoin-native investors. You’ll work shoulder-to-shoulder with the Fold team to spot securities law touchpoints in new features and guide innovative capital raising transactions that keep Fold’s balance sheet long BTC. This is a hands-on role for someone eager to champion Fold’s mission to accelerate hyperbitcoinization.

What you will own

• ’34 Act filings: prepare, review, and file 10-K, 10-Q, 8-K, and proxy statements.
• Capital-markets transactions: lead S-1s, follow-ons, PIPEs, ATM facilities, and related diligence.
• Nasdaq & SEC compliance: manage listing standards, correspondence, and comment-letter responses.
• Section 16 / insider-trading program: draft Forms 3, 4, 5; administer blackout periods and policy training.
• Equity plan & incentive compensation: oversee option/RSU grants, ESPP, and cap-table.
• Investor Communications: partner with the General Counsel, legal department, finance department, investor relations, and marketing teams on shareholder communications, press releases, investor presentations, and analyst calls.

Who you are

• Substantial securities-law experience: track record of leading public-company SEC filings and capital-markets work (law-firm or in-house); bitcoin/fintech exposure a plus.
• Subject-matter mastery: deep knowledge of the ’33 and ’34 Acts, Nasdaq rules, Section 16, Reg FD, and related governance standards.
• Drafting: ability to own first drafts of complex filings and disclosure docs with minimal oversight.
• Strategic mindset + detail obsession: you can toggle between big-picture risk analysis and footnote-level accuracy.
• Bar admission: active and in good standing.
