Operational excellence is not a goal, but a way of doing things at Lightship. The General Counsel leads all legal work for Lightship. This individual is a licensed attorney who possesses a strong background and history of collaborating with other departments for legal advisory services and drafting of legal documents. This individual has significant experience in working as an in-house counsel in a pharmaceutical, clinical research, or related organization.  Given Lightship’s distributed model and the remote nature of this position the General Counsel possesses a willingness and desire to work independently without significant oversight. Additionally, this position will require moderate travel – approximately 20%. General Counsel is responsible for:<ul><li>Corporate Governance <ul><li>Leading the development of best practice in the areas of corporate compliance </li><li>Preparing documents for Board of Directors meetings and ensuring compliance with corporate law and internal governance </li></ul></li><li>Litigation<ul><li New","469769242":[9675],"469777803":"left","469777804":"o","469777815":"hybridMultilevel"}" data-aria-posinset="1" data-aria-level="2">Engaging in risk mitigation practices to avoid disputes and litigation </li><li data-leveltext="o" data-font="Courier New" data-listid="1" data-list-defn-props="{"335551500":10921638,"335552541":1,"335559685":2160,"335559991":360,"469769226":"Courier New","469769242":[9675],"469777803":"left","469777804":"o","469777815":"hybridMultilevel"}" data-aria-posinset="1" data-aria-level="2">Reviewing current practices in high-risk areas that could result New","469769242":[9675],"469777803":"left","469777804":"o","469777815":"hybridMultilevel"}" data-aria-posinset="1" data-aria-level="2">Handling all aspects of litigation, arbitration, and government investigations to minimize financial, customer, and reputational impact to Lightship</li></ul></li><li>Contracting<ul><li>Developing standard form agreements and fallback positions for use in key negotiations </li><li>Empowering Lightship executives to utilize standard forms without legal review </li><li>Ensuring that signed agreements and forms are accessible for use and review </li></ul></li><li>Mergers and Acquisitions <ul><li>Assisting with due diligence and including protective provisions in closing documents to protect Lightship’s interests </li><li>Drafting closing documents, covenants, indemnities, and other provisions according to best practice </li></ul></li><li>Managing Outside Counsel <ul><li>Utilizing the most skilled and efficient outside legal advisors </li><li>Reviewing outside counsel work to ensure high quality and accurate advice, suitable for the stages of Lightship’s growth </li><li>Auditing legal bills and expenses for reasonableness and accuracy </li></ul></li><li>Commercial and Corporate Transactions <ul><li>Handling all complex commercial transactions based on legal knowledge and risk / benefit </li><li>Negotiating terms and conditions protective of Lightship’s assets </li><li>Developing standard practice and training junior members of the team </li><li>Working in collaboration with other Lightship stakeholders to understand priorities </li></ul></li></ul>General CounselRequired Qualifications:<ul><li>Licensed to practice law in the United States</li><li>Graduated from an accredited law school</li><li>At least 10 years of experience as an attorney</li><li>Experience in pharmaceutical company, clinical research organization, or related industry as in-house counsel</li><li>Required experience in a clinical research environment, preferred hybrid clinical research experience. </li><li>Requisite combination of education, training, and experience</li><li>Led a corporate legal function</li><li>Worked in a regulated industry</li><li>Managed complex transactions and litigation</li><li>Skilled in all legal practice areas to identify risk, with particular emphasis on contracts, employment, corporate experience.  To determine our compensation, we use a market-based approach that is geographically neutral.
