Counsel, Corporate

In this role, you will lead and support a broad range of corporate legal and governance activities across domestic and international entities, ensuring compliance, structure, and alignment with business strategy. You will act as a key legal partner to internal stakeholders on governance, structuring, and regulatory matters.

• Lead corporate governance matters including board support, entity management, and governance best practices across jurisdictions.
• Advise on domestic and international corporate structuring, subsidiary management, and regulatory compliance requirements.
• Support corporate registrations, licensing obligations, and ongoing compliance for global entities.
• Partner with compliance teams on AML, KYC/UBO, and other regulatory frameworks.
• Collaborate with Finance, Tax, HR, Treasury, and Legal teams on cross-functional corporate initiatives.
• Support corporate development activities, including mergers, acquisitions, and strategic partnerships.
• Contribute to the development of legal playbooks, governance processes, and scalable frameworks within the corporate legal function.
• Provide clear, practical legal advice that enables business teams to operate efficiently while managing risk.
• Engage with internal and external stakeholders, including regulators where necessary, on corporate governance matters.

Requirements

The ideal candidate brings strong corporate law expertise with experience in governance, structuring, and regulatory environments, ideally within high-growth or highly regulated industries. You are pragmatic, business-oriented, and comfortable operating across multiple stakeholders and jurisdictions.

• 6+ years of experience in corporate law, combining law firm and in-house experience.
• At least 3+ years of experience focused on corporate governance, including board advisory, entity management, and governance frameworks.
• Experience supporting corporate structuring, subsidiary governance, and cross-border legal matters.
• Background working in regulated industries such as fintech, financial services, payments, banking, or crypto is highly valued.
• Strong understanding of corporate compliance, regulatory obligations, and governance best practices.
• Experience interacting with regulators or supporting regulatory matters is a plus.
• Excellent drafting, negotiation, and legal writing skills.
• Strong analytical thinking with sound business judgment and legal pragmatism.
• Highly organized with strong project management and stakeholder coordination skills.
• Ability to communicate effectively with executive-level stakeholders and translate legal complexity into actionable guidance.
• Entrepreneurial, proactive mindset with the ability to operate in fast-paced, ambiguous environments.
• Active membership in good standing with a US state bar.
