Job Summary
Reporting to the Vice President of Legal Affairs, the Corporate Paralegal supports our Mergers & Acquisitions (M&A) legal team in managing a wide range of U.S. and cross-border music transactions including the North American and EMEA regions. This role is essential to ensuring the seamless coordination, documentation, and execution of deals, while also supporting corporate governance and compliance for our privately held company.
The ideal candidate is highly detail oriented and has demonstrated experience in M&A transactions (experience entertainment, media, or music transactions a plus but not required), excels in due diligence and contract management, and thrives in a fast-paced, entrepreneurial environment. Responsibilities
- Assist attorneys throughout all stages of M&A transactions, including preparing, reviewing, and compiling and organizing key documentation.
- Conduct due diligence by reviewing corporate records, contracts, intellectual property (IP) rights and licensing agreements.
- Prepare and track non-disclosure agreements (NDAs), term sheets, and closing binders.
- Draft and proofread legal correspondence, resolutions, and corporate agreements under attorney supervision.
- Track transaction progress, maintain legal checklists, due diligence trackers, and coordinate with internal and external stakeholders to facilitate deal execution.
- Assist in maintaining corporate governance records, including internal organizational structure charts, board resolutions, and minute books.
- Handle regulatory and compliance obligations, including annual filings, financial reporting obligations, and copyright recordations.
- Obtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictions.
- Maintain complete, accurate, and organized files and legal trackers related to corporate governance and compliance.
- Assist with contract review, redlining, and summarizing key deal terms.
- Organize, maintain, and update form agreement libraries for the legal team.
- Coordinate post-closing matters, including preparing closing sets and assisting with internal file management .
- Conduct factual and legal research related to music licensing issues
- Perform lien and litigation searches, analyze results, and escalate findings as needed.
Qualifications
- Bachelor’s degree in Business Administration, Legal Studies, or a related field required.
- Paralegal Certificate from an ABA-approved program preferred.
- Minimum 3+ years of relevant experience as a corporate paralegal, preferably in M&A, entertainment, or music industry transactions is a plus, but not required.
- Prior experience supporting transactional law, corporate governance, or regulatory compliance in a law firm or in-house legal team.
Skills & Competencies:
- Exceptional organizational skills with the ability to manage multiple high-priority transactions simultaneously.
- Strong knowledge of corporate transaction and legal due diligence best practices .
- Strong Proficiency in Microsoft Word, Excel, PowerPoint, and Outlook; and Google Suite (sheets, slides, calendar, drive) experience with contract management software preferred.
- Ability to work independently in a fast-paced, high-pressure environment while collaborating effectively with attorneys and stakeholders.
- Strong written and verbal communication skills, with attention to detail in legal drafting and proofreading.
- Confidentiality and discretion in handling sensitive legal and business matters.
- Strong time management skills; must be punctual and reliable
Pay Scale
$75,000 - $130,000
