This role provides a unique opportunity to be a key legal partner within a fast-growing, remote-first technology organization. As Commercial Counsel, you will support global go-to-market teams by reviewing, drafting, and negotiating a wide variety of commercial agreements, including SaaS contracts, licensing, partnerships, and vendor agreements. You will provide proactive legal guidance to sales, partner, and cross-functional teams, helping them achieve business objectives while managing risk. This position requires a strong blend of legal expertise, business acumen, and collaborative communication skills. You will thrive in a dynamic, fast-paced environment where your work directly impacts growth and operational efficiency. The role offers exposure to complex commercial arrangements and strategic decision-making across multiple jurisdictions.


Accountabilities:
  • Draft, review, and negotiate commercial contracts, including SaaS agreements, licensing contracts, partnership, reseller, MSP, distribution agreements, NDAs, and vendor agreements.
  • Provide expert legal guidance to sales, partner, and cross-functional teams on deal structuring, risk assessment, and compliance matters.
  • Collaborate closely with partner channel teams to facilitate and negotiate agreements with third parties.
  • Maintain standardized contract review and risk-assessment processes, ensuring proper documentation and use of contract management tools.
  • Coordinate with internal teams on cross-functional issues, including privacy, security, compliance, and product, as needed.
  • Support remote and asynchronous collaboration across multiple time zones, occasionally working outside standard hours to meet business needs.

Requirements:
  • Juris Doctorate (JD) and a valid license to practice law in good standing.
  • Minimum of 5 years of experience in a commercial in-house role at a technology company or comparable environment.
  • Proven experience drafting and negotiating commercial agreements using standardized review and risk-assessment processes.
  • Strong collaboration skills and experience partnering with sales and partner teams to achieve business goals.
  • Ability to build consensus and influence multiple stakeholders across internal and external teams.
  • Experience with business and legal operations systems such as Ironclad, Salesforce, or similar tools.
  • Comfortable operating in a fast-paced, high-growth, and remote-first environment with asynchronous collaboration.
  • Excellent written and verbal communication skills, attention to detail, and strong organizational abilities.
  • Strong problem-solving mindset with the ability to identify issues, propose solutions, and execute effectively.
  • Positive attitude, customer-focused mindset, and a sense of humor to thrive in a collaborative team culture.
