What You’ll Do:

  • Coordinate the complete contracting process with business teams (and as necessary, outside counsel), including order preparation, contract negotiation, and administration.
  • Negotiate standard commercial contracts, including customer agreements, vendor contracts, NDAs, data processing agreements, and service-level agreements, using standardized templates and guidelines.
  • Manage contract lifecycle events, including contract amendments, renewals, and change orders, ensuring continuity and alignment with negotiated terms.
  • Partner with Sales team members to educate them on the contracting process, support contract negotiations, and help move deals across the finish line.
  • Serve as the point of contact for the deal desk function, reviewing deal structures, validating pricing and commercial terms against company policies, routing for approvals, and helping maintain Salesforce accuracy for deal documentation.
  • Work closely with other internal stakeholders (e.g. product, finance, etc.) to support procurement of services from third-party vendors and ensure contracts align with company objectives and compliance standards.
  • Support the selection and implementation of a contract lifecycle management (CLM) system, including helping define requirements, participating in testing, and assisting in rollout and adoption across relevant teams.
  • Support integration efforts between Foundant and SmartSimple by aligning contract workflows, terms, and policies across both organizations.
  • Identify potential risks in contract terms and propose mitigation strategies, escalating complex legal issues when appropriate.
  • Maintain organized records of all contract negotiations and finalized agreements.

 

What You’ll Need:

  • Bachelor’s degree in business, legal studies, or a related field.
  • Minimum of 5 years of experience in contract negotiation and management, including direct experience managing deal desk processes or working in a deal desk function.
  • Formal legal training (e.g., paralegal certificate or JD coursework) strongly preferred.
  • Proficiency in understanding and interpreting legal language within contracts.
  • Experience reviewing and negotiating SaaS agreements, licensing agreements, service-level agreements, and data privacy agreements.
  • Experience working with or implementing a contract lifecycle management (CLM) system is a strong plus, especially in a fast-paced SaaS environment.
  • Familiarity with Salesforce and contract management systems.
  • Strong business judgment, with the ability to navigate ambiguity and make practical recommendations based on balancing legal risk and business needs.
  • Excellent interpersonal, written, and oral communication skills, including the ability to clearly communicate contractual issues and risk to internal stakeholders in ways those without contract knowledge can understand.
  • Strong organizational skills and attention to detail.
  • Strong ability to manage multiple contracts independently in a fast-paced environment.
