Position Summary


Sara Kilian, VP, General Counsel and Head of Global Legal Services, is searching for an Associate Deputy General Counsel to serve as a senior lawyer supporting corporate shared services and legal department operations.  Perforce is looking for an individual who thrives in a fast-paced work environment, is very detail-oriented, has experience managing staff, and has the ability to work independently while managing multiple priorities and deadlines.  In this role, you will be viewed as the trusted advisor and business partner for the entire business, and you will be asked to provide counsel and guidance in support of Perforce's overall business objectives.  


This position is a skilled generalist role, and, among other things, will be responsible for legal support to corporate functions, risk mitigation and dispute resolution, intellectual property, and department operations.  The position reports to the General Counsel and collaborates with other high-functioning professionals across the business.


Requirements
  • J.D. degree from an accredited law school. 
  • Admitted to practice law in at least one of the 50 United States.
  • 9+ years of progressive experience in legal roles, with significant experience in in-house settings.
  • Exposure to, or experience advising, private equity-backed businesses.
  • The ability to diagnose legal problems and present positive and creative solutions and alternatives for the business.
  • Deep expertise in tech-related legal matters, including licensing agreements and data privacy regulations (GDPR, CCPA, etc.).
  • A hands-on leader who is adept at managing and inspiring professionals (lawyers and non-lawyers), and fostering a collaborative and high-performance culture.  
  • Highly responsive with a service-oriented attitude.
  • A willingness to represent the legal department by providing project oversight for complex cross-departmental initiatives.
  • The ability to successfully navigate complex organizations, and comfort with ambiguity, risk, and uncertainty.
  • Curiosity coupled with a high degree of integrity and forethought in making decisions.
  • An appetite to learn new areas of the legal function that you previously did not have exposure to.
  • Strong strategic thinking and prioritization skills.
  • Outstanding written and oral communication skills.
  • Exposure to employment law, litigation management and dispute resolution, incentive equity programs, internal investigations, and international operations.
  • Good understanding of corporate governance and management of complicated legal entity structures.


Responsibilities
  • Commercial Contracts – manage and oversee the commercial contracts team, including the reviewing, drafting, negotiating, and advising on contracts including: (i) software license agreements (SaaS and on-premise (perpetual and subscription)); (ii) commercial contracts (including vendor contracts); (iii) partner and reseller agreements; (iv) professional services agreements; and (v) other agreements required to operate the business as required from time to time.  Manage, influence, evolve, and scale the commercial contracting function, including operational aspects, to drive excellence and efficiency in the overall contracting process while ensuring that the department’s resources are allocated appropriately.
  • Legal Operations - manage and participate in reviewing, interpreting, and drafting various company policies and procedures, including responsibility for developing new or enhancing existing contract templates, guidelines, policies, and training materials in support of the legal department's efforts to empower other functions to better assist the business areas they support.  Manage and support team members in the legal department’s efforts to increase and promote efficiency in legal department tasks and identify areas where the legal department could gain efficiencies by incorporating artificial intelligence and/or automation into the current legal operations.  Provide guidance and identify professional development opportunities for the legal team members.
  • Compliance and Regulatory - support Perforce’s global compliance posture and regulatory adherence relating to privacy, conflicts of interest, ethics, country-of-origin compliance, export control, and anti-bribery, including the maintenance and updating of related policies and processes.  Proactively review and report on changes in relevant laws, regulations, and industry standards, as well as track emerging trends. 
  • Intellectual Property and Licensing - support the protection and enforcement of Perforce’s intellectual property assets, including trademarks, patents, and copyrights.  Collaborate with and advise the marketing team to ensure registration of newly created intellectual property and the maintenance of the registered intellectual property.  Provide guidance on IP licensing, infringement, and enforcement matters.  Advise the software engineering team on open source software licensing questions to ensure adherence to Perforce policies.
  • Merger and Acquisitions - Support the legal team’s effort with various M&A projects, and work collaboratively with business development, functional teams, and outside counsel on such projects, including post-closing integration activities.
