In this role, you will be responsible for managing and negotiating a broad range of commercial agreements and supporting cross-functional teams on legal and business issues. The ideal candidate is someone who thrives in a fast-paced, high-growth environment and is comfortable balancing legal risks with business objectives.As an Associate Commercial Counsel, you will:<ul><li style="font-size: 12pt;">Draft, review, and negotiate a wide variety of commercial contracts, including SaaS agreements, vendor agreements, partnership agreements, NDAs, and service agreements.</li><li style="font-size: 12pt;">Advise internal teams (Sales, Marketing, Product, Operations, and Finance) on legal risks and contractual matters to enable business outcomes.</li><li style="font-size: 12pt;">Support legal operations by assisting in implementing and managing a contract management system.</li><li style="font-size: 12pt;">Conduct legal research to support contract negotiations and ensure compliance with relevant laws and regulations.</li><li style="font-size: 12pt;">Stay updated on changes in legislation and industry standards affecting the company.</li><li style="font-size: 12pt;">Serve as a point of contact for contract-related inquiries from clients, internal team members, and vendors.</li><li style="font-size: 12pt;">Foster strong relationships with external partners to facilitate smooth contract execution.</li><li style="font-size: 12pt;">Work with General Counsel to develop contract playbooks and train legal AI assistant to review, draft, redline, and identify risks in contracts. </li></ul>What you'll need:<ul><li style="font-size: 12pt;">J.D. degree and license to practice law in at least one U.S. jurisdiction.</li><li style="font-size: 12pt;">3–5+ years of relevant legal experience, with a mix of law firm and in-house experience strongly preferred.</li><li style="font-size: 12pt;">Substantial experience drafting and negotiating complex commercial agreements in the tech or SaaS industry.</li><li style="font-size: 12pt;">Strong communication and interpersonal skills; able to collaborate effectively across all levels of the company.</li><li style="font-size: 12pt;">Excellent judgment, attention to detail, and an ability to balance legal and business considerations.</li><li style="font-size: 12pt;">Familiarity with legal tech tools and contract lifecycle management systems.</li><li style="font-size: 12pt;">Must be licensed to practice law in one or more of these locations preferred: NY, GA, DE, or CA</li></ul>Nice to Haves:<ul><li style="font-size: 12pt;">Experience supporting commercial deals in international markets.</li><li style="font-size: 12pt;">Interest in AI, emerging technologies, and their regulatory landscape.</li><li style="font-size: 12pt;">Familiarity with data privacy laws and a working knowledge of how they impact contractual obligations.</li><li style="font-size: 12pt;">Provide guidance on general corporate legal matters, such as entity management, corporate governance, and equity matters (experience in these areas is a plus, but not required).</li><li style="font-size: 12pt;">Experience or familiarity in the federal sector or dual use technology is a plus.</li></ul> <div class="content-conclusion">Benefits we offer:<ul><li style="font-size: 12pt;">Competitive salaries</li><li style="font-size: 12pt;">Stock options</li><li style="font-size: 12pt;">Medical, dental, vision, life, and disability coverage</li><li style="font-size: 12pt;">Flexible spending account (FSA)</li><li style="font-size: 12pt;">Flexible vacation policy</li><li style="font-size: 12pt;">401(k) plan </li><li style="font-size: 12pt;">Office located in Atlanta, GA.
