This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Assistant General Counsel, Commercial based in the United States.

The Assistant General Counsel, Commercial will serve as a senior legal advisor supporting sales, partnerships, and strategic business initiatives.
This role will take ownership of complex commercial matters from negotiation through completion, helping the business move quickly while managing legal and regulatory risk.
You will negotiate high-value customer, channel, and strategic partnership agreements in a fast-growing technology environment.
The position combines commercial contracting expertise with strong knowledge of privacy, regulatory, compliance, and technology-related matters.
You will partner closely with Sales, Revenue Operations, Deal Desk, Product, Privacy, and other cross-functional teams to align business priorities with appropriate risk thresholds.
The role also provides an opportunity to influence legal processes, develop playbooks, lead internal initiatives, and mentor junior legal professionals.

Accountabilities:
  • Take end-to-end ownership of commercial legal matters and strategic initiatives, managing transactions from initial engagement through completion.
  • Negotiate complex and high-value agreements with customers, channel partners, strategic partners, and other key stakeholders.
  • Lead senior-level commercial and legal discussions and represent the Legal function in executive-facing interactions.
  • Provide practical, business-oriented legal advice across commercial transactions, privacy, regulatory, and compliance matters.
  • Apply established legal playbooks while exercising sound judgment to determine when appropriate deviations are warranted based on risk and business considerations.
  • Partner closely with Revenue Operations, Sales Operations, Deal Desk, Product, Privacy, and other cross-functional teams to align transactions with internal policies and risk thresholds.
  • Support the development and execution of strategic commercial initiatives that contribute to broader business objectives.
  • Lead cross-functional legal projects, including process improvements, training initiatives, policy development, and enhancements to commercial legal operations.
  • Help ensure commercial activities comply with applicable data privacy and protection requirements, including relevant international regulations.
  • Provide guidance on data processing agreements and other privacy-related contractual matters.
  • Build strong relationships with business stakeholders by providing responsive, practical, and solution-oriented legal support.
  • Support, mentor, and train junior legal professionals and new members of the legal team.
  • Contribute to the continued development and maturity of commercial legal processes, practices, and capabilities.

Requirements

  • 8+ years of combined experience at a law firm and in-house with a global organization, focused on drafting and negotiating commercial agreements.
  • Strong experience with SaaS agreements, technology licensing, strategic transactions, and channel agreements such as reseller, distribution, and managed service provider arrangements.
  • Significant commercial SaaS experience is highly desirable.
  • Cybersecurity industry experience is a plus.
  • J.D. or equivalent degree from an accredited law school.
  • Active license to practice law in the United States.
  • Strong understanding of data protection and privacy laws, including GDPR.
  • Experience negotiating Data Processing Agreements (DPAs); CIPP certification is a plus.
  • Strong ability to work independently, establish priorities, meet deadlines, and resolve complex legal and business problems.
  • Excellent judgment and ability to adapt legal guidance to the evolving needs of a fast-growing organization.
  • Strong organizational skills and the ability to manage multiple priorities in a dynamic environment.
  • Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly to business stakeholders.
  • Strong negotiation, relationship-building, and influencing capabilities.
  • Ability to operate effectively under pressure while maintaining a collaborative, accountable, positive, and solutions-oriented approach.
  • Ability to work effectively with senior executives and cross-functional teams across Sales, Product, Operations, Privacy, and other business functions.
